Commercial Online Banking - Your Rights and ProtectionUnlike consumers, business entities are not governed by Regulation E, Electronic Funds Transfer. Instead, commercial services are covered under the Uniform Commercial Code (UCC), Automated Clearing House (ACH) rules, ReadyNet Internet Banking Agreement, Bank's signature card terms & conditions, and applicable federal and State of Texas laws. For security purposes, you determine what password and RSA Passmark® you will use and the identity of your password and Passmark is not communicated to us. You agree that we are authorized to act on instructions received under your password and Passmark. You accept responsibility for the confidentiality and security of your password and Passmark and agree to change your password regularly. Upon three unsuccessful attempts to use your password, your access to the bank's Internet Banking System (SYSTEM) will be revoked. To re-establish your authorization to use SYSTEM, you must contact your security administrator or bank to have your password reset or to obtain a new temporary password. We recommend that you create a password that utilizes both upper and lower case alpha, numeric and special characters and be at least eight characters long for security purposes. Your password should not be associated with any commonly known personal identification, such as social security numbers, address, date of birth, names of children, and should be memorized rather than written down. Disclosing your User ID and/or password to another party, aggregators, non- North Dallas Bank & Trust Co. software systems, etc. is at your own peril and liability. If you should ever feel that your User ID or password has been compromised, please contact US immediately. You understand the importance of your role in preventing misuse of your accounts through SYSTEM and you agree to promptly examine your paper statement for each of your BANK accounts as soon as you receive it. You agree to protect the confidentiality of your account and account number, and your personal identification information, such as your driver's license number and social security number. You understand that personal identification information by itself, or together with information related to your account, may allow unauthorized access to your account. Your password and login ID are intended to provide security against unauthorized entry and access to your accounts. Data transferred via SYSTEM is encrypted in an effort to provide transmission security and SYSTEM utilizes identification technology to verify that the sender and receiver of SYSTEM transmissions can be appropriately identified by each other. Notwithstanding our efforts to insure that the SYSTEM is secure, you acknowledge that the Internet is inherently insecure and that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing BANK SYSTEM, or e-mail transmitted to and from us, will not be monitored or read by others. It is important that each customer daily review their account(s) utilizing Internet Banking and report any unauthorized or suspicious transactions IMMEDIATELY. FAILURE TO DO SO MAY CAUSE YOU TO LOSE ALL THE MONEY IN YOUR ACCOUNT. Regardless of knowledge of loss or theft of your Internet banking login identification and/or password, you must examine your statement with “reasonable promptness”. Reasonable promptness is for most items a period not to exceed 30 days. FOR ELECTRONIC WITHDRAWALS, SUCH AS THE AUTMOATED CLEARING HOUSE, YOU HAVE 24 HOURS TO REPORT AN ERROR OR UNAUTHORIZED TRANSACTION. If you discover, or should have reasonably discovered any unauthorized payment or alterations, you must promptly notify us of the relevant facts. The loss could be not only items on the statement but other items forged or altered by the same wrongdoer. If you fail to report any unauthorized transactions, signatures, alterations, forgeries or any other errors in your account within 60 days of when we make the item available, you cannot assert a claim against us on any of the items, and the loss will be entirely yours, even if we did not exercise ordinary care. We advise all of our commercial customers to perform a risk assessment of their particular business situation and needs for using a transactional Internet banking system. A risk assessment is a management tool which provides a systematic approach for determining the relative value and sensitivity of assets, assessing vulnerabilities, assessing loss expectancy or perceived risk exposure levels and any existing safeguards and protection features. We will NEVER call you or mail you requesting your password, personal identification number or login identification. If you come in to one of our locations or call us, we may ask you for your login identification but never your password or personal identification number. The bank utilizes a multi factor authentication process for securing your transactions. Additional security factors are utilized to protect transactions such as ACH or Wire Transfer.
